Eagle AI Labs Ltd, a company incorporated in England and Wales with company number 15789201 (“Eagle AI Labs”, “we”, “us” or “our”).
1. INTRODUCTION
This Conflict of Interest Policy (“Policy”) is provided to all clients and prospective clients of Eagle AI Labs (“Company”). The Company is committed to acting honestly, fairly, and professionally, prioritizing the best interests of its clients. This Policy outlines how Eagle AI Labs identifies, manages, mitigates, and discloses conflicts of interest that may arise during the course of its business activities.
2. PURPOSE AND SCOPE
The purpose of this document is to set out the Company’s approach in identifying and managing conflicts of interest which may arise during its normal business activities. In addition, this document identifies circumstances which may give rise to a conflict of interest.
The Policy applies to all its directors, employees, and any persons directly or indirectly linked to the Company (hereinafter called “Related Persons”) and refers to all interactions with all clients.
3. IDENTIFICATION OF CONFLICTS OF INTEREST
Conflicts of interest may arise when Eagle AI Labs or its Related Persons have a financial or other interest that could compromise or appear to compromise the objectivity of services provided to clients.
Examples include, but are not limited to:
• Eagle AI Labs earning referral fees or other financial incentives from third-party trading platforms linked through its services.
• Prioritizing recommendations or links to platforms that yield higher fees over those that may be better suited for the client.
• Situations where Company interests diverge from the client’s best interests.
4. CIRCUMSTANCES GIVING RISE TO CONFLICTS
Potential conflicts include:
• Receipt of referral fees, commissions, or other inducements from third parties in relation to client use of linked services.
• Offering or recommending trading platforms based on financial incentives rather than client benefit.
• Sharing of non-public or proprietary information among different departments or Related Persons which could influence the impartiality of analysis or recommendations.
5. MANAGEMENT OF CONFLICTS OF INTEREST
Eagle AI Labs employs the following measures to manage conflicts:
• Disclosure and Consent: Referral fees or commissions earned by Eagle AI Labs from third-party platforms are disclosed to clients in the Company’s Terms and Conditions. Clients provide their consent to such arrangements by agreeing to those Terms and Conditions prior to using the platform or services.
• Independence: Analysis and recommendations are developed independently and are not influenced by referral incentives.
• Monitoring: Ongoing review of referral arrangements to ensure they do not adversely affect client interests.
• Training: Regular staff training on conflicts of interest and ethical obligations.
• Access controls: Restriction of sensitive or proprietary information to authorized personnel only.
• Transparency: Clear, accessible information to clients about referral relationships.
6. DISCLOSURE TO CLIENTS
When conflicts cannot be effectively managed by other means, Eagle AI Labs will disclose the nature and extent of the conflict clearly, in a timely and understandable manner, enabling clients to make informed decisions regarding their use of the Company’s services.
7. RECORD KEEPING
Eagle AI Labs maintains records of identified conflicts, referrals, disclosures made, and measures taken to manage conflicts. These records are kept for a minimum of seven years and are subject to regular review.
8. EMPLOYEE CONDUCT AND PERSONAL TRANSACTIONS
Employees and Related Persons must avoid personal transactions or activities that conflict with client interests or misuse confidential information obtained through their position.
9. POLICY REVIEW AND AMENDMENT
This Policy will be reviewed regularly and updated as necessary to reflect changes in regulatory requirements, business practices, or operational needs. Clients will be notified of significant changes.
10. GOVERNING LAW AND JURISDICTION
This Policy, together with any related documents, agreements, or addenda referenced herein or available via the Platform, shall be governed by and construed in accordance with the laws of the England and Wales.
You agree that any dispute arising out of or relating to this Policy or any related document shall be brought exclusively before the courts of England and Wales, provided that Eagle AI Labs reserves the right, at its sole discretion, to initiate proceedings in your country of residence in accordance with applicable law.
11. ENTIRE AGREEMENT
The Company’s Terms and Conditions, together with this Conflict of Interest Policy and any other policies or documents issued by Eagle AI Labs, collectively constitute the entire agreement between the Company and its clients in relation to conflicts of interest and the provision of services.
In the event of any contradiction or inconsistency between this Policy and the Terms and Conditions, the provisions of the Terms and Conditions shall prevail.
